These Terms of Service ("Terms") describe the terms and conditions under which Histria Wines, LLC ("Histria Wines," "we," "us," or "our") provides the Balkan Liquor Syndicate ("BL Syndicate," "BLS") wholesale distribution platform and related services (collectively, the "Platform") to you. This policy applies to all users of the BLS Platform, including beverage vendors and retail/wholesale buyers. By creating an account or otherwise using the Platform, you agree to be bound by these Terms.

The Platform is a business-to-business (B2B) system for licensed wholesalers, distributors, and their business customers to manage catalogs, pricing, and purchase orders for alcohol beverage products. Use of the Platform requires a valid business relationship and, where applicable, appropriate alcohol beverage licensure.

1. Eligibility

The Platform is available only to businesses and individuals authorized to participate in the wholesale alcohol distribution channel in their jurisdiction, including holding any license required by applicable state and federal alcohol beverage control laws. You represent that you are at least the age of majority in your state or province of residence. You are responsible for ensuring your use of the Platform complies with all licensing requirements applicable to your business.

2. Account Responsibilities

• You must provide accurate business, contact, and licensing information when creating an account, and promptly update it if it changes.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
• You agree to keep your contact information (including phone number and email) current so that order-related notifications reach you reliably.

3. Notifications

By providing a phone number and enabling SMS notifications, you consent to receive transactional text messages related to order activity on your account, including new order alerts, order confirmations, revisions, and status changes. Message frequency depends on your order activity, and message and data rates may apply. You may disable SMS notifications at any time in your account settings; disabling SMS does not affect your ability to use the Platform, but you may miss time-sensitive order updates delivered only by that channel. Transactional and account-related notifications necessary for the operation of your account may not be fully opted out of while your account remains active.

4. Orders and Transactions

Purchase orders submitted through the Platform are subject to confirmation, revision, or decline by the receiving party (wholesaler or buyer) as reflected in the order's status within the Platform. The Platform facilitates communication and recordkeeping between the parties to a transaction; it does not itself act as a party to the underlying sale of goods unless explicitly stated otherwise for a given transaction. We reserve the right to correct errors, inaccuracies, or omissions in product, pricing, or order information at any time, and to cancel or adjust orders affected by such errors.

5. Acceptable Use

You agree not to use the Platform to:

• Violate any applicable law or alcohol beverage control regulation.
• Misrepresent your business identity, licensure, or authority to place or fulfill orders.
• Interfere with or circumvent the security or normal operation of the Platform.
• Collect or track the personal or business information of other users beyond what is necessary for a legitimate transaction.

6. Termination

We may suspend or terminate access to the Platform for accounts that violate these Terms, provide materially false information, or where required to comply with legal or regulatory obligations. Obligations incurred prior to termination survive termination.

7. Disclaimer of Warranties; Limitation of Liability

The Platform is provided on an "as is" and "as available" basis, without warranties of any kind, express or implied. We do not guarantee that the Platform will be uninterrupted, timely, secure, or error-free. To the maximum extent permitted by law, Histria Wines and its officers, employees, and service providers are not liable for any indirect, incidental, special, or consequential damages arising from your use of, or inability to use, the Platform.

8. Indemnification

You agree to indemnify and hold harmless Histria Wines and its affiliates, officers, directors, agents, and employees from any claim or demand, including reasonable attorneys' fees, arising out of your breach of these Terms or your violation of any law or the rights of a third party.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States and the State of California, without regard to conflict-of-law principles.

10. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by updating the effective date above. Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

11. Personal Information

Your submission of personal information through the Platform is governed by our Privacy Policy.
